Terms of Service

1. Acceptance

By using the website agenceadem.com or retaining the services ofWeb et Stratégie ADEM Inc. ("ADEM", "we"), you accept these terms. If you do not accept them, please do not use the site or our services.

2. Our services — and who they are for

ADEM provides website design, online advertising (Google Ads, Meta), search optimization (SEO/SEM), automation (CRM), and application development services. The exact scope of each mandate, deliverables, and timelines are set out in the quote or service agreement provided to the client.

Our services are offered to businesses only, in the course of their commercial activities — corporations, incorporated or unincorporated self-employed persons, organizations and professionals. They are not offered to consumers within the meaning of Québec'sConsumer Protection Act or the consumer protection legislation of the other provinces, and these terms do not constitute a consumer contract.

Territory. We serve businesses established anywhere in Canada. Work is performed remotely from our Montréal office; your province changes neither our rates nor the delivery guarantee set out in section 4. Our business hours are 9am to 5pm Eastern, Monday to Friday, and any deadline expressed in business days is counted in that time zone and against federal and Québec statutory holidays.

3. Prices, taxes and payments

• All prices are denominated in Canadian dollars (CAD) and invoiced in that currency, whatever your province. Any conversion or foreign exchange fees charged by your financial institution are your responsibility;
• Sales tax is added according to where you are established: GST alone, GST and PST, HST, or GST and QST in Québec, at the rates in force at the time of invoicing. It appears itemized on every invoice. If your business is exempt or holds an applicable exemption number, it is your responsibility to provide it to us before invoicing;
• One-time build fees are payable as set out in the quote;
• Monthly services are billed in advance, with no long-term commitment;
• You may cancel a monthly subscription at any time by written notice; cancellation takes effect at the end of the current billing period, with no fees or penalties;
• Advertising budgets paid to platforms (Google, Meta) are in addition to our fees and are not refundable by ADEM.

4. 7-day delivery guarantee

For the Pro Website plan, if the site is not live within 7 days of the initial call and receipt of the required information from you, amounts paid for the build are fully refunded. The countdown is paused while required client items (content, access, approvals) are outstanding.

5. Client responsibilities

• Provide accurate information and the content needed for the mandate (copy, images, logos, access);
• Hold the rights to any content provided;
• Approve deliverables within reasonable timeframes.

6. Intellectual property

Once full payment is received, the client owns their website and the deliverables created for them. ADEM retains ownership of its internal tools, templates, and methods, and reserves the right to feature completed work in its portfolio unless the client requests otherwise in writing.

7. Third-party services

Some services depend on third-party platforms (hosting providers, Google, Meta, payment processors). ADEM is not responsible for outages, policy changes, or decisions made by these platforms, but will make reasonable efforts to mitigate their impact.

8. Limitation of liability

To the extent permitted by law, ADEM's total liability for any damages related to a mandate is limited to the amounts paid by the client for the service in question over the previous 12 months. ADEM does not guarantee specific business results (sales, rankings, client volumes), which depend on many factors beyond its control.

9. Privacy and your own clients' information

The handling of your personal information is described in ourPrivacy Policy.

Where a mandate has us host your site, operate your automations, or otherwise process personal information belonging to your business or to your own clients, we act solely on your mandate and never for our own purposes. As required by Québec law, the protective measures, retention period, destruction terms and our duty to notify you without delay of any privacy incident are set out in the service agreement. You remain responsible for the lawfulness of the information you entrust to us.

10. Termination

Either party may terminate a mandate by written notice in the event of a material breach not remedied within 15 days. Amounts owed for services rendered remain payable.

11. Governing law and language

These terms are governed by the laws of Québec and the applicable laws of Canada. Both parties being businesses, they agree that any dispute will be submitted to the courts of the judicial district of Montréal. This clause does not displace public order rules that would apply mandatorily in your province.

Language. The French version of these terms is the authoritative one. This English version is made available to clients whose language of business is English: by choosing to proceed in English while the French version remains accessible at any time from this page, those clients confirm that they expressly wished to be bound by the English version, in accordance with section 55 of the Charter of the French Language. In the event of any discrepancy between the two versions, the French version prevails.
